How is it kept confidential?
Through sequence rather than through documents. An anonymous description first, a signed agreement second, the detailed memorandum third, and access to systems only at the end.
A non-disclosure agreement rarely produces damages in practice, because proving the loss from a leak is difficult. Its value is that it makes the obligation explicit and gives grounds to end the conversation.
If word does get out, a short factual message from the owner to the people affected works better than denial. Rumours grow in the space that silence leaves.
